AA4U Corporate Services, legally registered as AA4U Corporate Service Provider L.L.C., a Limited Liability Company – Single Owner (LLC-SO) under License No. 1315235, Dubai Department of Economy and Tourism (DET), will act as a Local Service Agent (LSA) under the following terms and conditions:

1. Scope of Services

AA4U Corporate Services acts solely as a Local Service Agent (LSA) for foreign-owned professional and service businesses operating in Dubai.
The LSA role is administrative and representative only, limited to facilitating compliance with relevant government authorities, including the Dubai Department of Economy and Tourism (DET), Ministry of Human Resources and Emiratization (MOHRE), and the General Directorate of Residency and Foreigners Affairs (GDRFA).

AA4U Corporate Services does not participate in the client’s management, operations, decision-making, or profit-sharing, and shall not be held responsible for any commercial, financial, or legal obligations of the client.

2. Legal Ownership

The client (foreign business owner) retains 100% ownership of the company and bears full responsibility for all business activities, financial obligations, and compliance with UAE laws and regulations.

3. Responsibilities of AA4U Corporate Services

AA4U Corporate Services shall:

• Represent the business before UAE government departments for licensing and compliance purposes.
• Facilitate administrative procedures including license renewals, visa processing, establishment-card issuance, and document attestations.
• Maintain strict confidentiality of all client information.
• Coordinate through AlArabiya 4 U Business Setup, which serves as the official intermediary for all communications, documentation, and payments between clients and AA4U Corporate Services.

4. Responsibilities of the Business Owner

All businesses and their respective shareholders, for which AA4U Corporate Services acts as the Local Service Agent, shall:

1. Operate Actively – The business must remain operational and shall not be left dormant.
2. Purpose of Visas – All visas issued under the company’s trade license must be used solely for the operation of the business and not for unrelated or unauthorized purposes.
3. Government Cooperation – When requested by any UAE government entity, the business owners shall fully cooperate with the Local Service Agent by providing all documentation necessary to prove that their business is operational and in good standing.It is advisable that business owners share the required operational documents with AA4U Corporate Services on a regular basis (at least twice per year) to ensure preparedness in the event of a random audit or compliance inspection conducted by any government agency.
4. Legal Compliance – Business owners must comply with all laws and regulations governing their licensed activities, including those established by the Government of Dubai and the UAE Federal Government.
5. Termination for Non-Compliance – Any violation or non-compliance with these laws shall result in the immediate termination of the LSA arrangement by AA4U Corporate Services without liability.
6. MOHRE Registration – All employees, including the business owners themselves (where applicable), must be registered with the UAE Ministry of Human Resources and Emiratization (MOHRE) for valid work permits and inclusion in the Wage Protection System (WPS).
7. Salary Payments via WPS – Business owners are required to ensure timely salary payments through the WPS system and are prohibited from making direct or off-system salary transfers to employees.
8. Business Updates – Business owners must immediately inform AA4U Corporate Services, through AlArabiya 4 U Business Setup, of any major changes or events affecting their business operations, including but not limited to changes in ownership structure, management, trade name, business location, licensed activities, or other significant operational developments. Timely updates ensure the Local Service Agent remains compliant with DET and other UAE government authorities.

5. Exclusive Agent, Communication, and Payments

AlArabiya 4 U Business Setup is the exclusive authorized agent and intermediary of AA4U Corporate Services.
All communications, documentation, and payments between clients and AA4U Corporate Services shall be conducted solely through AlArabiya 4 U Business Setup.

All payments related to Local Service Agent services must be made directly and exclusively to AlArabiya 4 U Business Setup.
Any payment, agreement, or correspondence made outside of AlArabiya 4 U Business Setup will not be recognized by AA4U Corporate Services.
Clients must obtain official receipts or invoices issued in the name of AlArabiya 4 U Business Setup as proof of payment and engagement.

6. Fees, Refunds, and Renewals

1. The LSA service is provided for a fixed annual service fee mutually agreed in writing prior to commencement.
2. The annual fee does not grant ownership, profit share, or managerial rights to any party.
3. All fees are non-refundable once the service period has commenced, including cases of early termination, inactivity, or non-compliance.
4. Renewal of the LSA service must be completed prior to the expiry date of the existing arrangement to maintain continuous legal compliance.
5. Renewal payments and all related communication shall be handled exclusively through AlArabiya 4 U Business Setup.

7. Liability and Indemnification

AA4U Corporate Services shall not be liable for any loss, penalty, fine, or damage arising from the client’s business operations, staff actions, or regulatory non-compliance.
The client agrees to indemnify and hold AA4U Corporate Services harmless against any legal claims, costs, or damages resulting from their business activities or violations.

8. Confidentiality

Both parties agree to maintain the confidentiality of all data, documents, and communications exchanged throughout the engagement.
All correspondence between the client and AA4U Corporate Services shall be channeled through AlArabiya 4 U Business Setup for official record and compliance tracking.

9. Termination

1. Either party may terminate the LSA arrangement with 30 days’ written notice, provided all outstanding fees are settled through AlArabiya 4 U Business Setup.
2. AA4U Corporate Services reserves the right to terminate immediately in the event of:
   1. Breach of UAE laws or DET regulations.
   2. Misuse of the business license or issued visas.
   3. Non-payment of service fees or renewal fees.
3. Upon termination, the client must appoint a new Local Service Agent and ensure that the change is properly recorded with DET and other relevant authorities before the termination becomes effective.
4. No refund or partial refund shall be due upon termination initiated by either party.
5. All termination-related communication and settlements must be processed exclusively through AlArabiya 4 U Business Setup.

10. Governing Law and Jurisdiction

These terms are governed by the laws of the Emirate of Dubai and the applicable federal laws of the United Arab Emirates.
Any disputes shall fall under the exclusive jurisdiction of the Dubai Courts.
